2. Services

HealthSync provides comprehensive revenue cycle management (RCM) solutions, including but not limited to provider enrollment & credentialing, billing and coding optimization, claim submission and management, insurance verification, denial management, patient billing and follow-up, performance analysis and reporting, prior authorization, and end-to-end collections.

3. User Responsibilities

• Users must provide accurate and complete information when utilizing our services.
• Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.
• Users must comply with all applicable laws and regulations.

4. Service Limitations

• HealthSync does not guarantee that our services will be error-free, uninterrupted, or free from unauthorized access.
• We reserve the right to modify or discontinue our services at any time without notice.

5. Payment Terms

• Fees for our services will be invoiced according to the terms agreed upon in your service agreement.
• Payments are due within the specified period as stated in the invoice.
• Late payments may incur additional charges as outlined in your service agreement.

6. Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary information disclosed during the course of the service agreement.
• This confidentiality obligation extends beyond the termination of the service agreement.

7. Intellectual Property

• All intellectual property rights related to HealthSync’s services, including software, documentation, and methodologies, remain the exclusive property of HealthSync.
• Users are granted a limited, non-exclusive license to use HealthSync’s services solely for their intended purpose.

8. Termination

• Either party may terminate the service agreement with a 30-day written notice.
• HealthSync reserves the right to terminate the agreement immediately in the event of a breach of these Terms & Conditions.

9. Limitation of Liability

• HealthSync shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Our total liability shall be limited to the fees paid by the user for the specific service in question.

10. Dispute Resolution

• Any disputes arising from these Terms & Conditions shall be resolved through mediation before seeking any other form of legal remedy.
• The governing law for these Terms & Conditions shall be the laws of the state of Tennessee, United States.

11. Amendments

• HealthSync reserves the right to amend these Terms & Conditions at any time. Users will be notified of any significant changes.
